When ordering through our on-line shop you will be required to tick a box confirming you have read and agree to our terms & conditions. When ordering in person, a copy of our Order Confirmation form must be signed agreeing to our terms, this will be taken as acceptance of quote(s)/order(s); in addition the Purchaser may transmit via e-mail, facsimile or post an official purchase order.
All orders for Goods (detailed on our quotation/invoice) are accepted subject to these terms and conditions of sale only and supersede any other terms and conditions.
LED Illuminations (2009) Ltd (herein & after known as LED Illuminations) reserves the right to decline to trade with any persons or organisation, in addition, LED Illuminations may decline to accept an order, by giving notice of non-acceptance to the customer. In the event an order is declined of which payment has been received, the full amount of such payment will be refunded.
Our quotations are valid for sixty days as dated. The offer of sale may be revoked in writing.
No Third Party shall have any right to enforce any term or condition of any order under this agreement (Rights of Third Parties) Act 1999.
All notices, instructions, consents and approvals shall be in writing and signed by an authorised representative of either party. It shall be sent to the other Party marked for the attention of their representative at the address set out in the order. Notices may be sent by hand, by e-mail, by first-class mail or by facsimile transmission provided that facsimile transmissions are confirmed within 24 hours by first-class mail. Correctly addressed notices sent by hand, shall be deemed to have been delivered, notices sent by first-class mail shall be deemed to have been delivered 72 hours after posting and correctly directed facsimile transmissions shall be deemed to have been received instantaneously on transmission provided that they are confirmed as set out above.
Payment for Goods and Services
Payment shall be made by the Purchaser for all monies owed in respect of orders placed for goods or services. The Title of goods remains with LED Illuminations until payment is received in full.
Prices quoted/invoiced are in UK £ pounds sterling. VAT will be chargeable at the current rate. Payment shall be made at the time that the order is placed. Payment may be made by bank transfer, the Customer is required to pay all bank charges, or major credit and debit cards.
All payments must be cleared before goods will be dispatched.
Orders where goods have been specifically ordered for a Purchasers requirement (scheduled orders and non-stock items) a 50% deposit is required on placing the order with the remaining balance due prior to dispatch.
Export
The Purchaser is responsible, at their own expense, to obtain any import or export licence or any other documentation deemed necessary by any compliant authority.
Delivery, Delays and Non Delivery
LED Illuminations will reasonably endeavour to deliver by the specified date.
Goods are dispatched CIF (carriage, insurance & freight paid).
LED Illuminations shall not be liable to compensate the customer by way of damages or otherwise for non-delivery or late delivery of the goods or for any loss, consequential or otherwise, arising from non-delivery or late delivery.
LED Illuminations reserves the right to deliver part orders, or hold orders until all items are available, as required. If any goods are not available within 30 days of the order being placed the purchaser will be informed and kept update as to availability.
The Purchaser must inspect the goods within 48 hours of delivery or collection
and shall within 48 hours of such delivery or receipt inform of any damage or fault to the Goods.
Any query regarding shortages of goods must also be made within 48 hours of delivery or receipt.
Queries regarding goods invoiced but not delivered must be made to LED Illuminations within 14 days of invoice date and the invoice number must be quoted.
Passing of Title & Risk
Title of goods passes on receipt of payment in full. Risk passes on delivery to the address specified on the purchase order/invoice. Should the goods be rejected, title will revert.
Order Cancellations
Orders where goods have been ordered for a specific requirement (scheduled orders and
non-stock items) cannot be cancelled. Cut lengths of product cannot be accepted for refund.
Unwanted items may be returned within 14 working days of delivery for an alternative product, credit note or refund as long as they are in a resalable condition and in their original packaging accompanied with all accessories and instruction manuals. LED Illuminations reserves the right to make a restocking charge for the goods returned. Delivery costs will not be refunded. The goods remain the responsibility of the Purchaser until delivered via a trackable route to the office of LED Illuminations. The Purchaser must take reasonable care of the unwanted goods and return them suitably protected to ensure safe return. The Purchaser must bear all the costs of returning any unwanted goods and provide proof of delivery.
In the event of the customer cancelling part of an order, LED Illuminations reserves the right to charge the customer for any difference in the selling price applicable to the quantity dispatched up to the time of cancellation and the total quantity of the original order, plus a restocking charge.
Faulty Goods under Warranty
All products are fully tested before dispatch. The Purchaser must inspect the goods within 48 hours of delivery or collection and shall within 48 hours of such delivery or receipt inform LED Illuminations of any damage or fault to the goods. Faults arising after installation, LED Illuminations must be notified immediately and the goods or defective parts should be returned, together with proof of purchase and (if relevant) all complete accessories, instruction manuals and software and, wherever possible, in the original packaging within 14 days.
Our technical team will examine the products to ascertain whether the fault is due to product fault or misuse, poor conditions, inferior class of power supply or bad installation. A two per cent LED failure rate or below will not be classed as faulty product. Any defects in the goods, which are due to faulty materials, workmanship or design which appear within a twelve month period after delivery (not installation), will be made good by repair or, at the sole discretion of LED Illuminations, by replacement or refund. It is the responsibility of the Purchaser to return the faulty goods, this should be done by a traceable delivery system. Third party carriage charges will not be met. Carriage charges for replacement goods will be met by LED Illuminations.
LED Illuminations will not be responsible for any labour costs incurred in removing and re-installing replacement products.
Where replacement goods are required immediately, these will only be dispatched after payment is made in full.
Cancellation and/or return of Goods
LED Illuminations must be informed prior to cancelling or returning goods. On receipt of notification, LED Illuminations will issue a returns/cancellation form.
Environmental
The Waste Electrical and Electronic Equipment directive applies to all electrical and electronic products sold.
It is a requirement of the directive that all such items are disposed of in a responsible manner. For commercial sales in the UK this means they should be taken to a Designated Collection Facility from where they will be recycled. Our Producer Registration number is WEE/CF1694TT
Continuous Improvement
LED Illuminations reserves the right, without prior notice, to discontinue any goods or to make design changes as part of a continuous programme of improvement.
Product Suitability
The responsibility for ensuring that goods are suitable for the Purchaser’s requirement rests
with the Purchaser unless LED Illuminations have specifically advised the Purchaser in writing that the goods are sufficient and suitable for the Purchaser’s described purpose.
If the Purchaser does not supply a full technical specification, the specification will be as per the current datasheet. Dimensions & cut-outs stated on our datasheets are for guidance only and it is advised products are received prior to preparing the site for installation.
Exact colours and finishes are difficult to reproduce accurately on websites and printed materials, Purchasers should not place undue reliance upon such reproductions.
Consistent Colour Rendition
All LEDs have slight variances in colour by manufacturing batchs. In situations where exact colour matching is vital, Purchasers must specifically request that all items are supplied from the same product batch, otherwise a close colour match cannot be guaranteed. It cannot be guaranteed close colour matching for products supplied at a later date which are required to colour match products supplied for a previous order. It is the Purchaser’s responsibility to check that products intended to colour match with previous products ordered are suitable and where appropriate order a sample in advance of placing an order for such products. Where products are deemed an unsuitable colour match by the Purchaser, and no sample has been requested prior to placing the order, LED Illuminations reserves the right to charge a restocking charge for returned items, or to decline a refund in the case of cut lengths, non-stock or scheduled items.
Commercial Tolerances
Dimensions and other physical characteristics of the goods are subject to normal commercial tolerances. Unless otherwise stated, electrical ratings represent safe working limits. Rope Light is sold on 50m rolls but can be cut by the metre, because of the nature of the internal wiring, cutting may not be possible exactly on the metre mark, if you have an exact requirement please discuss this with the sales team.
Copyrights, Patents, Intellectual Property & Information
Products and services referred to on our website, in correspondence or invoice may
be subject to a patent, registered design, trademark, copyright, or other right of a third party. Proprietary rights in or relating to any document or other material produced or supplied by LED Illuminations or otherwise made available to the Purchaser shall under the terms of this Agreement remain vested with LED Illuminations.
Amendments
Amendments to the order must be made in writing. Any changes to pricing and/or delivery time due to the amendment will be notified.
Limitation of Liability
The Purchaser will be responsible for ensuring the fitness for purpose of the goods for the
purchaser’s application. To the extent permitted by law, LED Illuminations accepts no liability arising in respect of loss, damage or expense arising from errors in information or advice provided where or not due to LED Illuminations negligence or that of its employees, agents or sub-contractors, save for any loss or damage arising from death or personal injury.
LED Illuminations shall not be liable to the Purchaser by reason of any representation
(unless deliberately fraudulent), or any implied warranty, condition or other term, or any duty
at common law, or under the expressed terms of any contract with the Purchaser, for any
indirect or consequential loss or damage (whether for loss of profit or otherwise), costs, expenses or other claims for compensation whatsoever (whether caused by the negligence of LED Illuminations, its employees or agents) which arise out of or in connection with the supply of the goods or their use or resale by the Purchaser.
The invalidity, illegality or unenforceability of any term or condition of this Agreement shall not affect the validity, legality or enforceability of any other term or condition of this Agreement. The entire liability of LED Illumination under or in connection with any contract with the Purchaser shall not exceed the price of the goods or services.
Force Majeure
No liability will be accepted for any failure or delay in performance which is wholly or
partially due to an act of God, war, fire, explosion, riot, civil commotion, restriction by
Government or other competent authority, strikes, lock outs, failure in supplies or to any cause whatsoever beyond our control. LED Illuminations agrees to give notice forthwith upon becoming aware of an event.
Termination
This Agreement will be terminated if either a) the Purchaser has a bankruptcy order made against them; or makes an arrangement or composition with their creditors; or otherwise take the benefit of any statutory provision for the time being in force for the relief of insolvent debtors; or (being a body corporate) convene a meeting of creditors (whether formal or informal), or enter into liquidation (whether voluntary or compulsory) except a solvent voluntary liquidation for the purpose only of reconstruction or amalgamation; or have a receiver and/or manager, administrator or administrative receiver appointed of its undertaking or any part thereof; or a resolution is passed or a petition presented to any court for their winding up; or for the granting of an administration order in respect of them; or any proceedings are commenced relating to their insolvency or possible insolvency; they suffer or allow any execution, whether legal or equitable, OR b) in the event that the Purchaser fails to make payment as agreed.
Discharging
LED Illuminations discharges all obligations within this Agreement on satisfactory completion of their duties laid out in this Agreement.
Privacy
LED Illuminations (2009) Ltd operates a computerised database, accounts & payment system.
To assist our sales team a record of projects, proposals, quotes & orders are kept on the company database this will also include company name, postal address, contact, telephone number & email address. At no time is any information made available to third parties.
We use a Sage accounts package where customer’s details are recorded to create quotes & invoices.
Card payments are taken using Sage Pay, we have a certified secure server to protect the privacy of these card transactions.
From time to time we may email details of new products or projects undertaken directly to you from our in-house computer system.
Confidentiality
All communications, including quotes, invoices, letter, emails or in any other format from LED Illuminations whether by email, post, fax or any other method is for the recipient only and under no circumstances should it be forwarded, copied or made available to a third party without prior consent from LED Illuminations.
Law
All Agreements between LED Illuminations (2009) Ltd and the Purchaser shall be governed by, and interpreted in accordance with, English Law.
